§2. Definitions
- Customer — a natural person, legal person or organisational unit placing an order.
- Consumer — a natural person concluding a contract not directly related to their business or professional activity.
- Entrepreneur with consumer rights — a natural person concluding a contract directly related to their business activity, where the contract shows that it is not of a professional nature for them (in particular in light of their registered business activity codes, PKD). The provisions of these Terms concerning Consumers apply to such a person accordingly, to the extent set out in Article 38a of the Polish Consumer Rights Act.
- Product — goods offered in the Shop: the Fader Bridge device with its installed software, RF Shields antenna covers and the Plug-on Cage, as described on the product pages.
- STL File — digital content: a file with a Product design for printing on one’s own 3D printer, supplied for download over the internet.
§3. Products and their features
- The features, purpose and compatibility of each Product are described on its page in the Shop.
- Fader Bridge is an accessory for Zoom F8-series recorders that lets you control one or two recorders from a USB MIDI controller over Bluetooth. It is not made by Zoom Corporation or by the controller manufacturers and is not supported by them. It uses the recorder’s communication protocol, which the recorder manufacturer may change with a firmware update.
- RF Shields are antenna covers made of flexible TPU. The Plug-on Cage is a cage for Sennheiser SKP 100, 300 and 500 G4 transmitters, mounted on a boom pole. The Products are not made by Sennheiser or by antenna manufacturers and are not supported by them.
- Enclosures and accessories are made by 3D printing. Layer lines and print texture are visible on their surface, and individual pieces may differ slightly in appearance. This is a feature of the technology that the Customer is informed of before purchase, and it is not a defect if it does not affect the strength, fit or operation of the Product. Every piece passes a quality check before shipping.
- A MIDI controller, recorder, transmitter, antenna or power supply is not included unless the description states otherwise.
§4. Orders and conclusion of the contract
- To place an order, the Customer adds Products to the cart, chooses an InPost parcel locker on the order page, clicks “Przejdź do płatności” (Proceed to payment), enters their full name, e-mail address, phone number and address in the Stripe payment form, accepts these Terms and pays for the order.
- Clicking the payment button means placing an order with an obligation to pay. The sales contract is concluded when the Customer receives the e-mail confirming the payment.
- The content of the contract is recorded in the confirmation e-mail and in the sales document sent to the Customer.
- Technical requirements: a device with internet access, an up-to-date web browser and an active e-mail account.
§5. Prices and payments
- Prices are given in Polish zloty (PLN) and are gross prices (VAT included). The delivery cost is shown before payment.
- Payments are processed by Stripe Payments Europe Ltd. Available methods: BLIK, payment card, Przelewy24 and other methods shown in the payment form.
- The Seller issues a fiscal receipt for every sale (also electronically, with the Customer’s consent) and an invoice on request.
§6. Delivery
- Delivery is made within Poland by InPost to the selected parcel locker.
- The Seller supplies STL Files promptly after the payment is credited: download links appear on the order confirmation page and are valid for 30 days from purchase, with a limit of 10 downloads per file. The Seller may also send the address of that page by e-mail. An order containing only STL Files has no delivery cost.
- The Seller dispatches the parcel within 2 business days of the payment being credited. InPost usually delivers within 1–2 business days.
§7. Right of withdrawal
- A Consumer may withdraw from the contract within 14 days without giving any reason. The period starts when the Consumer takes possession of the Product.
- To withdraw, it is enough to send a statement before the period expires: using the withdrawal form on the website, by e-mail or by post. The model withdrawal form may be used, but it is not obligatory. The Seller promptly confirms receipt of the statement by e-mail.
- The Seller refunds all payments, including the cost of the cheapest delivery option offered, within 14 days of receiving the statement, using the same payment method. The Seller may withhold the refund until it has received the Product back or proof that it has been sent back.
- The Consumer sends the Product back to the returns address: ul. Marii Rodziewiczówny 1/301, 04-187 Warsaw, Poland, within 14 days of withdrawing, and bears the direct cost of returning it.
- The Consumer is liable for any diminished value of the Product resulting from handling it beyond what is necessary to establish its nature, characteristics and functioning.
- The right of withdrawal does not apply to STL Files if the Seller has begun supplying them with the Consumer’s express prior consent, given before placing the order, and the Consumer has acknowledged the loss of the right of withdrawal (Article 38(1)(13) of the Polish Consumer Rights Act). Consent is given by ticking the box on the order page; its confirmation is included in the order confirmation e-mail.
§8. Complaints (conformity of goods with the contract)
- The Seller is liable to the Consumer for any lack of conformity of the Product with the contract that existed at the time of delivery and became apparent within 2 years, under Chapter 5a of the Polish Consumer Rights Act. This also covers the software, which the Seller updates for a period the Consumer can reasonably expect.
- Complaints can be submitted by e-mail to kontakt@soakupsound.pl or in writing. Please describe the problem and give the order number and your request (repair, replacement, price reduction, withdrawal from the contract).
- The Seller responds to a complaint within 14 days. No response within that period means the complaint is accepted.
- For Customers who are neither Consumers nor entrepreneurs with consumer rights, liability under the statutory warranty (rękojmia) is excluded (Article 558 §1 of the Polish Civil Code).
§9. Licence for STL Files
- Upon payment, the Customer receives a non-exclusive licence, unlimited in time, to print the Product from the STL File for their own use, including within their own professional activity.
- The licence does not cover sharing, reselling or publishing the STL File (including a modified one) or selling Products printed from it.
- Print quality depends on the Customer’s printer, material and settings. The Seller is responsible for the STL File’s conformity with the contract, including its completeness and printability in accordance with the enclosed instructions.
§9a. Software
- The Customer receives a non-exclusive licence, unlimited in time, to use the software installed in the Product, solely together with that Product.
- The software contains open-source components (including ESP-IDF and NimBLE under the Apache 2.0 licence). Information on licences and authors is available on the licences page.
§10. Out-of-court dispute resolution
A Consumer may seek help from a municipal or district consumer ombudsman (rzecznik konsumentów) or ask the provincial Trade Inspection (Inspekcja Handlowa) for mediation. Information: prawakonsumenta.uokik.gov.pl.
§11. Personal data
The rules for processing personal data are described in the privacy policy (in Polish).
§12. Final provisions
- Matters not covered by these Terms are governed by Polish law, in particular the Civil Code and the Consumer Rights Act. These Terms do not limit the Consumer’s rights under mandatory provisions of law.
- Changes to these Terms do not apply to orders placed before the changes take effect.
